IMPORTANT READ CAREFULLY :

Please note that, as per our agreement, if we provide you with website access and you log in using your email to edit the website, it signifies your acceptance of all the terms and conditions of our platform and AWS cloud hosting services.


Furthermore, any changes or updates made to the website after logging in will be considered your responsibility. If you do not agree with these terms, please notify us via email. In such a case, we will terminate your agreement with us, cancel your subscription, and unpublished your website without any obligation on our part.



Introduction

A-Terms and Conditions


Effective Date: [12/01/2020-2025]


These Terms and Conditions govern your use of  MizaniOne/MizaniApps . By accessing or using our services, you agree to the following terms:


1. Use of Services

 • You must be at least 18 years old or have parental consent to use our services.

 • You agree not to misuse, interfere with, or disrupt our platforms or associated services.


2. Hosting Services

 • Our hosting services are provided through Amazon AWS, ensuring reliable and secure web hosting.

 • We offer two payment plans for hosting:

 • Monthly Plan: $50–$100 per month, depending on the selected service tier (auto-renewed).

 • Annual Plan: $600, due on December 1 each year, with services activated by January 1.


3. Payment Policies

 • Payments are processed automatically using the credit card on file, three (3) days after the invoice is generated.

 • If payment is not received by December 15, your website will be unpublished and, if unresolved, permanently deleted.

 • Late Payments: Late payments are subject to a $99 late fee in addition to the monthly hosting fee. If the payment is not made within 30 days, the website and all associated data will be permanently deleted.

 • Data Retention: If you wish to retain your website data after it is unpublished, you may opt to pay a $300 annual fee to keep the data alive on the AWS system.

 • Disputing a payment or taking action through your bank will result in being charged the full monthly rate of $99 per month for hosting on Amazon AWS. (total of $1200)

 • If the payment is not resolved within 30 days, the account will be sent to a collection agency.


4. Non-Exportability of Websites

 • Websites built through MizaniONE are not exportable to other hosting platforms due to proprietary integrations and our partnership with 120+ third-party app companies.

 • Our services are specifically designed to function within our ecosystem and hosting infrastructure provided by Amazon AWS.

 • Websites will not work with any other hosting company, and attempting to transfer them will result in the loss of functionality.


5. Cancellation and Refund Policy

 • Hosting and website services can be canceled or unpublished at any time upon request, but the following policies apply:

 • Monthly Payments: Cancellation must be requested at least 30 days before the due date, which falls in the last week of the current month.

 • Annual Payments: Cancellation must be requested by November 1 of the previous year (60 days before the December 1 due date).

 • Late or Early Cancellations: Any cancellation requests made after these dates are not eligible for refunds, and the full payment for the term will still be required.

 • No refunds will be issued for any payments already made.

 • Upon cancellation, unpublishing, or attempted export, all agreements and support provided under the original terms will be revoked and canceled.


6. Service Termination

 • Late or missed payments may result in service interruptions, account suspension, or removal of hosted content.

 • Once your website is removed, it cannot be recovered, and a new website build will need to start from scratch.


7. Changes to Terms and Conditions

 • We reserve the right to modify these Terms and Conditions at any time, as necessary. Changes may occur without prior notice.

 • You are responsible for reviewing this policy regularly to stay updated on any changes. Continued use of our services after changes constitutes your agreement to the updated terms.


8. Liability


MizaniOne /MizanIApps is not responsible for:

 • Data loss resulting from unpaid accounts, disputes, or deletion after nonpayment.

 • Service interruptions caused by maintenance, technical issues, or external providers (e.g., Amazon AWS).


Claims or Litigation:

If you initiate any claims or litigation regarding this matter, this termination agreement will be nullified, and you will revert to the original agreement terms. In such a case:


• You will be liable for the full cost of the website at $10,000 for each revision completed

Additionally, you will be charged a monthly hosting fee of $99, retroactive to the date the website was published.



Non-Refundable Policy and Cancellation Terms


We would like to remind you that all projects under Mizani APPS, Mizani Media, and MizaniOne, MizaniDesign are non-refundable. However, you have the right to request the cancellation of the agreement within 30 days of signing, provided that no work has yet begun on the project.


If the project has already commenced or any work has been initiated, the cancellation request will no longer be valid, and the terms of the agreement will apply.

B-Copyright and Intellectual Property Policy for Mizani APPS


B1. Ownership of Intellectual Property

All content, designs, applications, software, systems, and other intellectual property (collectively referred to as “Intellectual Property”) created, developed, or owned by Mizani APPS are exclusively protected under applicable copyright laws and intellectual property rights. This includes, but is not limited to:


• Custom-developed software and applications

• Proprietary designs and processes

• Trademarks, logos, and branding elements

• Marketing materials and other published works


B2. Unauthorized Use and Prohibited Actions

The following actions are considered violations of Mizani APPS’ Intellectual Property rights:


• Reproducing, copying, distributing, or modifying any Mizani APPS Intellectual Property without express written consent.

• Using Mizani APPS Intellectual Property for commercial purposes, competitive business activities, or personal gain without prior authorization.

• Reverse engineering or decompiling Mizani APPS applications or software.


B3. Authorization for Use

As a gesture of good faith and a commitment to supporting our clients, Mizani APPS is happy to provide authorization for the use of our Intellectual Property at no fee or cost to all of our clients. However, any use, reproduction, or distribution without prior written authorization is strictly prohibited and will be considered a violation of this policy.


B4. Penalties for Violation

Any unauthorized use, reproduction, or distribution of Mizani APPS Intellectual Property constitutes a direct violation of this policy. Violators are subject to the following penalties:


• A mandatory fine of $5,000 per violation.

• Payment of 25% of any revenue generated through the unauthorized use or exploitation of Mizani APPS Intellectual Property.


These penalties are enforceable through legal action if necessary. Mizani APPS reserves the right to pursue additional damages as permitted by law.


B5. Reporting Violations

If you suspect a violation of Mizani APPS’ Intellectual Property rights, please report it immediately to our legal team at [contact email]. Mizani APPS treats all reports confidentially and will take appropriate action against violators.


B6. Agreement to Terms

By accessing or using Mizani APPS services or products, you agree to comply with this Copyright and Intellectual Property Policy. Continued use of Mizani APPS services constitutes acceptance of these terms.


B7. Updates to the Policy

Mizani APPS reserves the right to amend this policy at any time without prior notice. Users are encouraged to regularly review this policy to stay informed of any updates


B8.Notice of Nonpayment, Dispute, and Hosting Policy Enforcement


If your account becomes subject to a collection agency due to nonpayment or dispute, or if you initiate attorney contact regarding our company, a state or federal agency, or copyright violation, the following terms will apply:

1. All previously applied discounts will be revoked, and fees will revert to their original prices.

2. You agree to be responsible for all attorney fees incurred by us as a result of your actions.

 3. Hosting services are exclusively provided by MizaniOne through Mizani Apps, utilizing AWS hosting. You have no legal privilege to contact AWS directly, transfer the hosting account, or open a separate account with AWS regarding your hosting. AWS holds no responsibility for your account or hosting services provided by MizaniOne.

4. All content, including text, images, and design elements, is the exclusive intellectual property of MizaniApps and cannot be transferred, shared, or replicated without prior written authorization from MizaniApps.


Additionally:

Our basic fees will apply:

Hosting: $99/month

ADA Compliance: $300/month

Attorney fee $1250 plus $300 hourly rates for retainer

Google SSL: $350 (one-time annual payment)

Any third-party apps installed will be subject to the company’s standard pricing.


By continuing to engage with our services, you acknowledge and accept these terms.


Grounds for data collection 

Processing of your personal information (meaning, any information which may potentially allow your identification with reasonable means; hereinafter " Personal Information ") [add explanation regarding the legal grounds for processing personal information, such as:] is necessary for the performance of our contractual obligations towards you and providing you with our services, to protect our legitimate interests and for compliance with legal and financial regulatory obligations to which we are subject.

When you use the Site, you consent to the collection, storage, use, disclosure and other uses of your Personal Information as described in this Privacy Policy.

We encourage our Users to carefully read the Privacy Policy and use it to make informed decisions. 

What information we collect?

We collect two types of data and information from Users. 

The first type of information is un-identified and non-identifiable information pertaining to a User(s), which may be made available or gathered via your use of the Site (“ Non-personal Information ”). We are not aware of the identity of a User from which the Non-personal Information was collected. Non-personal Information which is being collected may include your aggregated usage information and technical information transmitted by your device, including certain software and hardware information (e.g. the type of browser and operating system your device uses, language preference, access time, etc.) in order to enhance the functionality of our Site. We may also collect information on your activity on the Site (e.g. pages viewed, online browsing, clicks, actions, etc.).

The second type of information Personal Information which is individually identifiable information, namely information that identifies an individual or may with reasonable effort identify an individual. Such information includes:
  • Device Information: We collect Personal Information from your device. Such information includes geolocation data, IP address, unique identifiers (e.g. MAC address and UUID) and other information which relates to your activity through the Site
  • Registration information: When you register to our Site you will be asked to provide us certain details such as: full name; e-mail or physical address, and other information.  

How do we receive information about you?

We receive your Personal Information from various sources:
  • When you voluntarily provide us your personal details in order to register on our Site;
  • When you use or access our Site in connection with your use of our services;
  • From third party providers, services and public registers (for example, traffic analytics vendors).

What information we collect?

We do not rent, sell, or share Users’ information with third parties except as described in this Privacy Policy.


We may use the information for the following:

 

  • Communicating with you – sending you notices regarding our services, providing you with technical information and responding to any customer service issue you may have;

  1. Receive confirmation as to whether or not personal information concerning you is being processed, and access your stored personal information, together with supplementary information. 
  2. Receive a copy of personal information you directly volunteer to us in a structured, commonly used and machine-readable format. 
  3. Request rectification of your personal information that is in our control.
  4. Request erasure of your personal information. 
  5. Object to the processing of personal information by us. 
  6. Request to restrict processing of your personal information by us.
  7. Lodge a complaint with a supervisory authority.

Retention

We will retain your personal information for as long as necessary to provide our services, and as necessary to comply with our legal obligations, resolve disputes, and enforce our policies. Retention periods will be determined taking into account the type of information that is collected and the purpose for which it is collected, bearing in mind the requirements applicable to the situation and the need to destroy outdated, unused information at the earliest reasonable time. Under applicable regulations, we will keep records containing client personal data, account opening documents, communications and anything else as required by applicable laws and regulations. 

We may rectify, replenish or remove incomplete or inaccurate information, at any time and at our own discretion.

Cookies

We and our trusted partners use cookies and other technologies in our related services, including when you visit our Site or access our services. 

A "cookie" is a small piece of information that a website assign to your device while you are viewing a website. Cookies are very helpful and can be used for various different purposes. Google Analytics collects the IP address assigned to you on the date you visit sites, rather than your name or other identifying information. We do not combine the information collected through the use of Google Analytics with personally identifiable information. This Privacy Policy does not apply to the practices of companies that we do not own or control, or to individuals whom we do not employ or manage, including any of the third parties which we may disclose information as set forth in this Privacy Policy.

We take great care in implementing and maintaining the security of the Site and your information. Marketing

Out of respect to your right to privacy we provide you within such marketing materials with means to decline receiving further marketing offers from us. If you unsubscribe we will remove your email address or telephone number from our marketing distribution lists. 

Please note that even if you have unsubscribed from receiving marketing emails from us, we may send you other types of important e-mail communications without offering you the opportunity to opt out of receiving them. These may include customer service announcements or administrative notices.

Corporate transaction

We may share information in the event of a corporate transaction (e.g. sale of a substantial part of our business, merger, consolidation or asset sale). In the event of the above, the transferee or acquiring company will assume the rights and obligations as described in this Privacy Policy.

Minors

We understand the importance of protecting children’s privacy, especially in an online environment. The Site is not designed for or directed at children. Under no circumstances shall we allow use of our services by minors without prior consent or authorization by a parent or legal guardian. We do not knowingly collect Personal Information from minors. We reserve the right to periodically amend or revise the Privacy Policy; material changes will be effective immediately upon the display of the revised Privacy policy. Your continued use of the Platform, following the notification of such amendments on our website, constitutes your acknowledgment and consent of such amendments to the Privacy Policy and your agreement to be bound by the terms of such amendments.
